This agreement between you, the potential user (“YOU”) sets out the terms and conditions (“Terms”) that govern your use of our services, including our website and other related platforms (collectively referred to as the “Services”).

If you do not agree to be bound by these Terms, please refrain from accessing or using our Services.

By using the Services provided by Arvind Onesource in any manner, you indicate your acknowledgment and acceptance of these Terms. These Terms form a binding contract between you and us and incorporate the privacy policy and any additional terms relating to specific Services you may use.

This platform is owned by Arvind Envisol Ltd., a company incorporated under laws of India having its registered office at Arvind Envisol Ltd., Arvind Mill Premises, Naroda Road, Ahmedabad - 382 345, India and corporate office at Arvind Envisol Ltd., Arvind Limited premises, Khatraj Kalol Rd, Khatraj, Gujarat - 382 721, India.

By using this Site, you acknowledge and confirm that:

These Terms are issued in accordance with Rule 3(1) of the Information Technology (Intermediary Guidelines) Rules, 2011, framed under the Information Technology Act, 2000. This rule mandates the publication of terms, privacy policies, and user agreements for anyone accessing or using the platform operated by Arvind Onesource.

Further, these Terms constitute an electronic record as defined under the Information Technology Act, 2000, along with applicable rules and subsequent amendments related to electronic documents under Indian law. As such, this electronic record is automatically generated by a computer system and does not require any physical or digital signature to be considered valid.

You agree not to host, display, upload, modify, publish, transmit, update, share or otherwise make available on the Site any information, that:

a. belongs to another person and over which you have no right;
b. contains content or other material protected by intellectual property laws unless You own or control the rights thereto or have received all necessary consents;
c. defames, abuses, harasses, stalks, hurts religious or ethnic sentiments of, threatens or otherwise violates the legal rights of others;
d. is grossly harmful, harassing, blasphemous defamatory, obscene, pornographic, paedophilic, libellous, invasive of another’s privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever;
e. is false, inaccurate or misleading in any way; infringes any patent, trademark, copyright or other proprietary rights;
f. violates any law for the time being in force; deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
g. abets or assists with impersonating another person; contains software viruses or any other computer codes, files, or programs designed to interrupt, destroy, or limit the functionality of any computer resource; or contains any trojan horses, worms, time bombs, cancelbots, easter eggs, or other computer programming routines that may damage, detrimentally interfere with, diminish value, surreptitiously intercept, or expropriate any system, data, or personal information;
h. conducts or forwards surveys, contests, pyramid schemes or chain letters;
i. solicits gambling or engages in any gambling activity which we, at our sole discretion, believe is or could be construed as being illegal;
j. interferes with another’s use and enjoyment of the Site;
k. creates profiles or provides content that promotes escort services or prostitution;
l. threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or disrupts public order or causes incitement to the commission of any cognisable offence or prevents investigation of any offence or is insulting any other nation;
m. uses any other internet service to send or post spam to drive visitors to any other site hosted on or through Our systems, whether or not the messages were originated by You, under Your direction, or by or under the direction of a related or unrelated third party; or
n. shall create liability for us or cause us to lose (in whole or part) the services of our Internet Service Provider (“ISPs”) or other Users.
o. contains any content which is non-compliant with the Information Technology Act, 2000, Rules and regulations, guidelines made thereunder, including Rule 3 of The Information Technology (Intermediaries Guidelines) Rules, 2011, the applicable laws, Terms of Use or Privacy Policy, as amended / re-enacted from time to time; or
p. violates any law for the time being in force.

You further agree to make use of the Platform in a bona fide manner. In particular, You agree not to:

a. print, distribute, share, download, duplicate or otherwise copy, delete, vary or amend or use any data or information posted by any User other than You;
b. use or attempt to use another person’s Profile;
c. attempt to gain unauthorized access to any portion or feature of the Platform, or any other systems or networks connected to the Platform or to any server, computer, network, or to any of the Platform Services by hacking, password “mining” or any other illegitimate means;
d. probe, scan or test the vulnerability of the Platform or any network connected to the Platform or breach the security or authentication measures on the Platform or any network connected to the Platform;
e. use any automated systems to extract data from the Platform;
f. make any inaccurate, false, unfair or defamatory statement(s) or comment(s) about Us or the brand name or domain name used by Us or any User on the Platform;
g. make any negative, denigrating or defamatory statement(s) or comment(s) about Us or the brand name or domain name used by Us, or otherwise engage in any conduct or action that might tarnish the image or reputation of Arvind Envisol Ltd.’s, affiliates, or Arvind Envisol Ltd. on the Platform or otherwise tarnish or dilute any Arvind Envisol Ltd. or Arvind Envisol Ltd.’s trade or service marks, trade name and/or goodwill associated with such trade or service marks, trade name as may be owned or used by Us;
h. take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Platform or Our systems or networks, or any systems or networks connected to Us;
i. circumvent or manipulate our Platform, Platform Services, registration process, billing system, or attempt to do so;
j. engage in commercial activities and/or sales without Our prior written consent such as contests, sweepstakes, barter, advertising and pyramid schemes, or the buying or selling of “virtual” products related to the Platform;
k. engage in deceptive, fraudulent, anti-competitive practices or other invalid means to meet the other User’s requirements; or
l. engage in any form of fraudulent traffic generating methods including use of robots, spiders, auto-spawning browsers, auto reloading, meta refreshes or any other form of fraudulent and artificial traffic.

Eligibility

By using our Services, you confirm that you have the legal capacity to enter into this binding agreement and that you are of legal age. If the laws in your jurisdiction prohibit your use of these Services, you are not allowed to access or use them.

We retain the right to deny, suspend, or permanently terminate your access to the Services on our Platform at any time if we become aware or reasonably suspect that your use violates any applicable laws or regulations.

Intellectual Property

Unless explicitly mentioned otherwise, all materials available through our Services—including but not limited to text, audio, video, graphics, software, trademarks, logos, service marks, domain names, and other intellectual property rights (“IPR”)—are the exclusive property of Arvind Envisol Ltd. These materials are protected under applicable copyright, trademark, and other relevant laws.

Any unauthorized use of our intellectual property by users is strictly prohibited and may lead to legal action to protect our rights to the fullest extent of the law.

These Terms do not grant you any license, ownership, or rights to use our intellectual property. No part of these Terms should be interpreted as transferring any interest or claim in our IPR to you.

The copyrights for all images displayed on this Site are either owned by Arvind Envisol Ltd or by the respective copyright holders. Users are prohibited from downloading or using any images from this Site for any purpose without obtaining explicit prior consent from Arvind Envisol Ltd or the rightful copyright owner, as limited license is granted by Arvind Envisol Ltd. to access and make personal use of this Site. This licence does not include any resale or commercial use of this Site or its contents; any collection and use of any product listings or prices; any derivative use of this Site or its contents; any downloading or copying of account information for the benefit of another person; or any use of data mining, robots, or similar data gathering and extraction tools.

Logistics and Fulfilment Services Policy

You are obligated to collect (in case You choose the self-pick up option) / take delivery of the Products purchased by You, that are said to be in a deliverable state. In the event of non-acceptance or refusal to collect / accept the delivery of the Products ordered by You, You may be liable to Arvind Envisol Ltd., for such non-acceptance and shall further be liable to Arvind Envisol Ltd. for any loss of any fee or charges that Arvind Envisol Ltd. shall have earned if such delivery or Transaction should have been completed. Such charges may also be subject to GST, which will be charged over and above the fees / penalty. You acknowledge that such damages or loss to Arvind Envisol Ltd. and the sellers listed on the Platform are not consequential or indirect. You shall countersign a lorry receipt and/or e-way bill/invoice copy or such other document collection / delivery form required by Arvind Envisol Ltd., in which You confirm that the Product was collected / delivered in the correct condition (without obvious defects or damage).

Delivery charges are not hidden charges and are charged (if at all) extra depending on the logistics facilities provided by the relevant seller/logistics partners. Delivery times are influenced by Product availability, geographic location, Your shipping destination and the seller’s logistics partner's time-to-deliver in Your location. Products are generally delivered on business days. Apart from Sundays, there are certain holidays throughout the year that are not considered as business days.

This Website may include links to external websites operated by third parties. These linked sites are not managed or controlled by Arvind Envisol Ltd, and we do not accept any responsibility for their content, changes, or updates, nor for any materials that may be transmitted or downloaded from them. Limitation of Liability

Under no condition, including negligence shall Arvind Envisol Ltd be held responsible for any damages whether direct, indirect, incidental, special, punitive, or consequential that arise from your inability to use or access the materials available on or through this Site. Should your use of any material lead to the need for repairs, servicing, or adjustments to your equipment, all costs related to such actions will be your sole responsibility.

Products and Pricing

Products

At Arvind Envisol Ltd, our platform offers a diverse range of products, including those manufactured and authorized by us. Each item listed comes with a detailed description to help you make informed choices. While we strive to ensure that all product information, including descriptions and prices, is accurate, occasional errors such as typos may appear. If you place an order affected by such inaccuracies, we reserve the right to reach out to you for clarification or to cancel the order and notify you accordingly.

Pricing

The price for each product will be clearly displayed at the time of your purchase. Please note that Arvind Envisol Ltd does not guarantee that prices are the lowest available in any particular city or region. Prices and stock availability can change without prior notice and without liability on our part. If there is any change to the price after you place an order, we will contact you using the email address you provided to seek your instructions.

The invoice provided at the time of delivery/self-pick up as the case may be, shall carry details of the exact quantity and price charged. The buyer shall be refunded part payments in case of a negative variation in the quantity supplied. Similarly, the buyer shall make additional payments in case of a positive variation in the quantity supplied.

Alternatively, we may cancel the order and notify you. Should an order be cancelled after payment has been completed, the full amount will be refunded to the payment source, following applicable banking procedures.

If there are any changes in the stock availability on the Site is subject to change without notice prior to the purchase of the product by the buyer. However, there may be circumstances where the product may not be available to be delivered to the buyer after the purchase transaction.

In such an event, Arvind Envisol Ltd may cancel such transaction without any recourse to buyer and without any liability to Arvind Envisol Ltd. If buyer’s order is so cancelled after some payments for the order have been processed, the said amounts will be reversed / remitted to the Buyer in accordance with the Agreements.

Payment Terms

All prices for products and/or services listed on the Platform are displayed in Indian Rupees (INR) and are inclusive of applicable taxes, unless expressly stated otherwise. The User agrees to pay all charges associated with an order at the prices applicable at the time of purchase, together with any statutory levies, duties, or charges as may be applicable from time to time.

For the purpose of facilitating payments, Arvind Envisol Ltd. shall make available to the User its designated virtual bank account details, together with its PAN, GST, and TAN particulars, under the "My Account" section of the Platform, specifically under the tab titled "Business Information". The said details are unique to the User’s Company name and are intended solely for remittances by the User in respect of orders placed on the Platform.

The User may discharge the payment obligation through either of the following modes, both of which shall culminate in credit to Arvind Envisol Ltd.'s bank account:

a) by initiating a direct bank transfer (NEFT / RTGS / IMPS / UPI, as applicable) to the Arvind Envisol Ltd. virtual bank account displayed in the User's account;
b) by clicking the "Pay Now" button provided on the Platform, upon which the User shall be securely redirected to the payment gateway page hosted by the authorised acquiring bank / payment aggregator, where the User shall complete the transaction using the payment instruments made available on the said bank page.

The redirection to the bank / payment gateway page, the authentication of the User, the processing of the transaction, and the debit from the User's account shall be governed exclusively by the terms, conditions, and privacy policies of the concerned bank and/or payment aggregator, and Arvind Envisol Ltd. shall not be a party to, nor responsible for, such processing/non-processing.

The User shall make all payments only to Arvind Envisol Ltd.'s designated virtual bank account as displayed on the Platform, whether by direct remittance or through the "Pay Now" gateway flow described above.

Payments made through any other bank account, virtual identifier, platform, intermediary, third-party wallet, aggregator, or payment channel not expressly authorised or displayed on the Platform shall be deemed unauthorised and shall be made entirely at the User's own risk, cost, and consequence, and Arvind Envisol Ltd. shall be under no obligation to acknowledge, recognise, adjust, or refund any such payment.

The Platform does not collect, route, hold, pool, or process payments on behalf of Sellers and does not act as a payment intermediary, payment aggregator, or escrow agent. The redirection through the "Pay Now" button is provided solely as a technological facility to enable seamless remittance to Arvind Envisol Ltd.'s bank account, and shall not be construed as the Platform undertaking any payment processing, settlement, or fiduciary function. All monies shall, at all times, flow directly from the User (or the User's bank / payment instrument) to the Arvind Envisol Ltd. bank account, without being held in trust, custody, or transit by the Platform.

The platform shall not be responsible or liable for any loss, delay, error, failure, decline, duplication, mis-credit, chargeback, or dispute arising out of:

i. payments made outside the Arvind Envisol Ltd. designated virtual bank account as displayed on the platform;
ii. any act, omission, downtime, or technical failure of the bank, payment gateway, payment aggregator, card network, or UPI infrastructure during the "Pay Now" flow;
iii. incorrect entry of payment credentials, virtual identifiers, or transaction references by the User; or
iv. any unauthorised use of the User's payment instruments or credentials by any third party.

Any payment not actually received and credited into Arvind Envisol Ltd.'s designated bank account, irrespective of any debit confirmation, transaction reference, or acknowledgement generated by the User's bank or the payment gateway, shall be treated as non-payment for the purposes of these Terms of Use.

In such an event, the Platform reserves the right, at its sole discretion and without any liability whatsoever, to withhold, cancel, suspend, or terminate the relevant order, service, or User account, and to pursue such further remedies as may be available under law. The User shall be solely responsible for coordinating with its bank or the payment gateway for reversal or refund of any such uncredited amount, and Arvind Envisol Ltd. shall have no obligation in respect thereof.

Successful receipt of payment into Arvind Envisol Ltd.'s designated virtual bank account shall be the sole and conclusive trigger for acceptance of the order and commencement of the corresponding supply or service obligation. Arvind Envisol Ltd. shall issue the applicable tax invoice in accordance with the Goods and Services tax laws and other applicable statutes, on the basis of the payment so received and the underlying supply.

Indemnity

The User agrees to indemnify, defend, and hold harmless the Arvind Envisol Ltd, its affiliates, officers, directors, employees, and agents from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, penalties, costs, and expenses (including reasonable legal fees) arising out of or in connection with the User’s access to or use of the Site, any misuse of the Site or its content, any breach of these Terms of Use, any violation of applicable laws in India (including the Information Technology Act, 2000 and rules made thereunder), infringement of any third-party rights, or any fraudulent, unlawful, negligent, or wilful act or omission of the User, and this indemnity shall survive termination of the User’s access to the Site or these Terms of Use.

Force Majeure

We shall not have any liability for any interruption or delay in access to the platform, due to the Force Majeure Event. Our obligations in respect of the Services on the platform will be postponed until circumstances beyond our reasonable control cease to continue.

The Force Majeure events includes those events resulting from natural hazards, disasters, labour unrest, embargo, strike riots, lockouts, epidemic, pandemic, fire, flood, earthquakes, typhoons, war, acts of foreign enemies or other perils or by any circumstances beyond the reasonable control of the parties, including but not limited to acts of god, war or national emergency, government or court or statutory action, civil commotion or industrial dispute.

Shipping and Delivery

Arvind Envisol Ltd is committed to delivering orders throughout India, following the incoterms 2020. Generally, order processing and shipment dispatch are completed within the lead time mentioned from when the order is placed. Delivery timelines will vary based on the postcode or zip code of the delivery address.

Once confirmed, an order cannot be modified. However, if you need to update your delivery address, you may request this by emailing us at support.onesource@arvind.in within 4 hours to 1 business working day of placing your order. Requests made after this period may not be accepted.

National and International Exchange & Return Policy

You may request exchanges, returns, or cancellations of orders placed on our platform in accordance with the specific terms outlined in our National and International Exchange & Return Policies. These policies vary depending on the delivery location.

We encourage you to carefully review the applicable exchange and return policies based on whether your order will be delivered within the country or internationally to ensure full understanding of the conditions involved.

Products shall be eligible for return only in accordance with the Arvind Envisol Ltd.’s return policy as displayed on the Site, subject to the product being unused, undamaged, and returned in its original packaging within the prescribed return period from the date of delivery; unless otherwise mandated under applicable Indian law, all shipping, handling, logistics, and reverse-pickup charges incurred in connection with such return shall be borne by the User.

The Arvind Envisol Ltd. shall not be liable for any delay, loss, or damage occurring during return transit, nor shall any refund, replacement, or credit be processed unless and until the returned product is received by the Arvind Envisol Ltd. and successfully inspected, whereupon any approved refund shall be processed in the original mode of payment within a reasonable period as per applicable laws.

Dispute Resolution

We are committed to offering a fair, efficient, and cost-effective way to resolve any disagreements arising from or related to these Terms of Use, including questions about their existence, validity, or termination.

If a dispute arises, you or we must notify the other party in writing, triggering a 15-day period (“Consultation Period”) to attempt to settle the issue amicably.

If the dispute cannot be resolved within this 15-day Consultation Period, it will be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996. A single arbitrator, appointed by Arvind Envisol Ltd , will oversee the arbitration process. The arbitrator will conduct the proceedings under the framework of the Arbitration and Conciliation Act, subject to any amendments.

The arbitrator’s decision will be final and binding on both parties, and the process shall be conducted as the arbitrator deems appropriate. The arbitration will take place in Ahmedabad, India, and the proceedings will be conducted in English.

Governing Law

These Terms and any actions related to them shall be governed by and interpreted in accordance with the laws of India. Any lawsuit or legal action arising out of or connected to these Terms or Services must be brought exclusively before the courts located in Ahmedabad, India.

Use of our Site, platform, or Services is not authorized in jurisdictions that do not recognize or uphold the provisions set forth in these Terms, including this dispute resolution clause.

Amendments to the Terms of Use

We may amend or replace these Terms of Use, and other Agreements / policies on the platform from time to time, by updating this document. Your use of the platform following the posting of changes will mean that You accept such changes.

Severability and Waiver

If any provisions of these Terms of Use are found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Use, which shall remain in full force and effect. No waiver of any term of these Terms of Use shall be deemed a further or continuing waiver of such term or any other term.

Relationship between Us and Users

Neither usage nor registration on the Platform creates an association, partnership, venture or relationship of principal and agent, master and servant or employer and employee between the User and Us.
